1. Acceptance of Agreement

Welcome to RIAMatch, operated by RIAMatch, LLC ("RIAMatch"). This Terms of Use Agreement ("Agreement") is a legally binding electronic contract between you and RIAMatch.

By accessing the Website or becoming a Member, you consent to have this Agreement provided to you in electronic form. Your continued use of the Service constitutes your acceptance of any modifications posted here. If you do not agree to these terms or the RIAMatch Privacy Policy, you must cease use of the Service immediately.

2. Professional Disclaimer (No Investment Advice)

RIAMatch is a matching and networking platform only.

• Not an Advisor: RIAMatch is not an "Investment Adviser" as defined under the Investment Advisers Act of 1940 or any state securities laws. We do not provide investment, legal, or tax advice.
• No Endorsement: We do not recommend, endorse, or vet the registration status, disciplinary history, or professional competence of any Member.
• User Responsibility: You are solely responsible for conducting your own due diligence. We strongly recommend verifying a firm's status via the SEC's Investment Adviser Public Disclosure (IAPD) or FINRA's BrokerCheck before entering into any professional relationship.

3. Eligibility & Account Security

You must be at least eighteen (18) years of age to use the Service. You are responsible for maintaining the confidentiality of your credentials. RIAMatch is not liable for unauthorized access to your account resulting from your failure to secure your login information. Use of Multi-Factor Authentication (MFA), if provided, is highly recommended.

4. Interactions with Other Users

You are solely responsible for your interactions. RIAMatch does not conduct criminal background checks or verify the statements of its Users.

Limitation of Liability: In no event shall RIAMatch be liable for any damages—direct, indirect, or incidental—arising from communications, meetings, or professional relationships formed through the Service.

5. Proprietary Rights & Prohibited Activities

RIAMatch retains all proprietary rights to the Website and Service.

• Anti-Scraping & AI Clause: You are expressly prohibited from using any robot, spider, or automated process to "data mine" or scrape Content. Use of the Service's data to train, test, or improve machine learning or artificial intelligence (AI) models is strictly prohibited without prior written consent.
• Commercial Use: Non-subscribers may not use any portion of the Service for commercial endeavors.

6. Content Posted by You

You grant RIAMatch a perpetual, worldwide, non-exclusive license to use and distribute any Content you post. You represent that all information in your profile is accurate and does not infringe on third-party intellectual property or privacy rights. RIAMatch reserves the right to remove any content deemed offensive or in violation of this Agreement at its sole discretion.

7. Billing and Auto-Renewal

• Payment: You authorize RIAMatch to charge your chosen Payment Method for subscription fees.
• Auto-Renewal: Your subscription will automatically renew for successive periods of the same duration at the then-current rate. You may cancel via "My Subscription" at any time; however, prorated refunds are not provided for the remaining term.

8. Privacy & Data Rights

Use of the Service is governed by our Privacy Policy. Residents of certain states (including Virginia, California, and others) may have specific rights regarding data access, deletion, and the right to opt-out of data "sales" or sharing. Please refer to the Privacy Policy for instructions on exercising these rights.

9. U.S. Export Controls

You represent and warrant that you are not located in, or a national of, any country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

10. Jurisdiction, Arbitration, and Class Action Waiver

• Governing Law: This Agreement is governed by the laws of the State of Virginia, without regard to conflict of law principles.
• Venue: Exclusive jurisdiction for any dispute shall be the state or federal courts in Loudoun County, Virginia.
• Class Action Waiver: To the maximum extent permitted by law, you agree that any proceedings to resolve a dispute will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

11. Limitation of Liability

The Service is provided "AS-IS." RIAMatch's liability to you for any cause whatsoever shall be limited to the greater of: (i) the total fees paid by you to RIAMatch in the twelve (12) months prior to the claim, or (ii) $100.00 USD.

12. Indemnity

You agree to indemnify and hold RIAMatch and its officers harmless from any claim or demand, including reasonable attorney's fees, arising out of your breach of this Agreement or your violation of any law or the rights of a third party.
